Cytek is a rapidly growing innovator in the field of cell analysis, and we're expanding our in-house legal team! We're looking for an Assistant General Counsel who will serve as a trusted partner across our organization. This role offers the opportunity to provide strategic legal guidance in a wide range of areas, including sales and marketing, business and corporate development, human resources, intellectual property, international subsidiaries, securities and corporate governance, and global compliance. You'll work closely with the Chief Legal Officer and collaborate with teams across the company to support key initiatives, reduce risk, and drive growth. WHAT YOU'LL DO
As Assistant General Counsel, you'll take on a dynamic and highly visible role with responsibilities including:
* Partnering cross-functionally to build strong relationships and deliver practical legal advice
* Exercising sound legal judgment with a focus on business-oriented solutions
* Owning projects from start to finish while knowing when to seek support
* Drafting, reviewing, and negotiating a broad range of commercial and corporate agreements
* Supporting international legal matters including sales, data privacy, compliance, and HR
* Managing and protecting Cytek's intellectual property portfolio
* Advising on M&A and corporate development activities
* Supporting SEC reporting, corporate governance, and regulatory compliance
* Leading special projects and contributing to the development of a high-impact legal department
WHAT YOU BRING
We're looking for someone who thrives in a fast-paced, evolving environment and brings a business-minded, solution-focused approach to legal work.
Required Qualifications:
* J.D. from an accredited U.S. law school
* Licensed and in good standing to practice law in California
* 7-10+ years of legal experience, including time at a major law firm and in-house (biotech industry a plus)
Preferred Experience:
* U.S. public company legal matters (e.g., SEC reporting, corporate governance, securities laws)
* International operations (HR, sales, distribution contracts, anti-bribery compliance, data privacy)
* Management of patents and trademarks
* Drafting and negotiation of sales, supply, licensing, distribution, and collaboration agreements
* M&A transactions and due diligence
* Global employee training and corporate policy development
