Who we are looking for:

The Associate Counsel provides legal advice to ASCO and its affiliates, and supports senior-level attorneys, focusing on drafting, reviewing, and negotiating contracts, carrying out legal research, and advising on compliance matters, as envisaged by ASCO's Strategic Plan and the goals of the Center for Integrity and Law.

This position is hybrid with a primary location in Alexandria, VA.

RESPONSIBILITIES
* With oversight from the Conquer Cancer General Counsel, serves as primary legal support for business and contract negotiations and the drafting and review of letters of agreement between Conquer Cancer and donors/funding sources and terms and conditions with grant and award recipients
* With oversight from senior attorneys, drafts, reviews, and negotiates contracts, including licensing, hotel/meeting contracts, and other vendor agreements
* Performs legal research, analysis, and writing on various topics at issue
* Prepares memoranda summarizing legal analyses and presents findings to senior attorneys and as requested to internal clients
* Maintains key client relationships with designated departments and staff

REQUIRED EDUCATION AND EXPERIENCE
* JD and active Bar membership in good standing (any state)
* 3+ years of experience in transactional, corporate, or other business-related experience
* Ability to review and interpret legal and/or contractual obligations
* Deep contract drafting experience
* Strong analytical, drafting, and research skills

PREFERRED EDUCATION AND EXPERIENCE
* Previous experience advising nonprofit clients
* Law firm experience

* A pro-active, customer-oriented, and compliance-minded approach to the practice of law
* Ability and desire to work in a team-based environment

ADA/PHYSICAL REQUIREMENTS
* Extended periods seated or standing at a desk.
* High use of computer and other office technology equipment.
