Responsibilities
Summary: The Corporate Finance Director financial analysis, research, and statistical studies. Analyzes acquisition and organic growth opportunities and prepares comprehensive reports for senior management. Prepares complex financial models using appropriate software application packages for internal and external use. Under supervision, facilitates capital raise opportunities to support strategic growth initiatives. Supervises the Financial Analyst and oversees their related responsibilities. Primary Duties and Responsibilities:
- The Corporate Finance Director prepares and maintains a five-year financial model (income statement, balance sheet, statement of cash flows).
- Models impact of acquisition targets and/or new organic growth opportunities on five-year financial model.
- The Corporate Finance Director prepares presentations to senior management and the Board of Directors based upon financial models.
- Researches acquisition candidates and competitors and performs financial analysis and valuation studies. Prepares information binders and summary reports for management.
- The Corporate Finance Director assists with due diligence of acquisition candidates, including but not limited to consulting external agencies concerning legal, financial, and accounting issues associated with M&A activity.
- Acts as a liaison between GEO's internal diligence team and target's advisors during periods of active negotiations/diligence efforts.
- Coordinates third party valuations of acquisition candidates (e.g., intangibles valuation).
- Facilitates new capital raise opportunities through the creation/accumulation of internal analysis and information, and communicating with external organizations such as investors, bankers, and other relevant organizations.
- Coordinates with credit ratings agencies to ensure they receive any ad-hoc information requests on a timely basis.
- Oversees and reviews the preparation and submission of debt compliance certificates (Senior Credit Facility, Senior Unsecured Notes, and other financial reporting needs). Monitors overall compliance with covenant requirements.
- Supervises the Financial Analyst and oversees their related responsibilities.
- Performs other duties as assigned.
Qualifications
Minimum Requirements:
- Bachelor's degree in Accounting, Finance, or Business Administration required. Master's degree is preferred. Focal area of study in Mergers & Acquisitions and Corporate Finance is highly desirable.
- Seven (7) years financial analysis experience is preferred.
- Financial experience in mergers & acquisitions and strong analytical skills are required.
- Must have direct working experience with major financial institutions arranging credit, equity, and structured finance transactions as well as advisory services on strategic activities.
- Strong knowledge on the financial capital markets.
- Must have proven experience with advanced financial models in conjunction with business valuations and mergers & acquisitions.
- Familiarity with standard financial concepts, practices and procedures as demonstrated through relevant work and educational experience.
- Must have solid skills in utilizing appropriate software application programs to conduct financial analyses.
- Must be able to summarize financial analyses, along with findings, through verbal and written communication.
- Must be able to work independently while meeting internal schedules and deadlines.
- Must be able to supervise the work of others.
