- Draft and file incorporation, formation, qualification, amendment, dissolution, and withdrawal documents for corporations, LLCs, LPs, and LLPs.
- Prepare board and stockholder consents, resolutions, minutes, certifications, securities transfer agreements, and other corporate and transaction documents.
- Maintain organized corporate records, including minute books, ownership ledgers, state and federal filings, and related entity records.
- Administer equity plans and maintain capitalization records using Carta, Shareworks, or similar platforms.
- Manage transaction closings for financings, mergers, acquisitions, and other corporate transactions.
- Coordinate diligence production, prepare and maintain electronic data rooms, and manage shareholder mailings and regulatory filings.
- Obtain, review, and analyze factual information and documentation from clients, third parties, agents, vendors, and governmental agencies.
- Conduct state and federal securities, corporate, and statutory research; analyze requirements and summarize findings.
- Track multiple client and transaction deadlines and coordinate attorney, client, and vendor requests.
- Maintain accurate time records and organized work product.
- Maintain client confidentiality and foster positive client relationships.
- Take initiative, exercise discretion, and use sound, independent judgment.
- Coordinate workloads as needed.
Specific Skills Required
- Excellent organizational, analytical, problem-solving, and communication skills.
- Strong attention to detail, with proficiency in proofreading, redlining, and document comparison.
- Excellent interpersonal and client service skills, with the ability to build effective working relationships with lawyers, business professionals, and clients.
- Strong time management skills, with the ability to manage multiple assignments, work well under pressure, and meet deadlines.
- Flexibility to support the team and meet client demands on accelerated schedules, including availability to work overtime as needed.
- Ability to maintain confidentiality, exercise discretion and sound judgment, take initiative, and work independently.
- Ability to track and record time accurately and timely.
- Knowledge of California and Delaware corporate law, federal and state securities laws.
- Proficiency in Microsoft Office suite, Adobe Acrobat.
- Proficiency in Carta, Pulley, Shareworks, or other capitalization management platforms.
Specific Skills Preferred
- Experience with UCC searches; prepare UCC-1 and UCC-3 financing statements.
- Fluency in Spanish.
Education and Experience
- Requires a four-year degree and four-plus years of experience as ECVC paralegal working with emerging growth companies.
- Law firm experience required.
- Paralegal Certificate preferred.
- Microsoft Word, Outlook, Adobe, Excel.

The listed compensation range reflects the typical pay for this role, though it is rare for new hires to receive an offer at the top of the range. Actual compensation may vary depending on experience, skills, market conditions, and internal equity. San Francisco Bay Area compensation range: $85,830.00 to $171,650.00 annually Los Angeles compensation range: $78,310.00 to $156,610.00 annually Washington state compensation range: $70,930.00 to $141,860.00 annually
